Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Paction Inc. (“Paction”, “we”, “us” or “our”), a corporation incorporated in Ontario with its office at 325 Front St W, Unit 2065, Toronto, ON M5V 2Y1, Canada. They govern your access to and use of paction.ca, its subdomains, and every feature, tool and service we make available through them (together, the “Platform”). Our Privacy Policy forms part of these Terms.

If you are a Breeder, additional terms apply to you. Our Breeder Terms cover verification and certification, your Subscription, receiving payments, and your Listings. They apply in addition to these Terms, together with the Paction Certification Conditions if you take part in the certification program.

By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

The short version

This summary is here to help you read the Terms; the full text below is what applies.

• Paction introduces people looking for a dog to breeders. Any agreement to reserve, buy or sell a dog is between the Buyer and the Breeder. Paction is not the seller and does not guarantee any dog.
• Payments made through the Platform are processed by Stripe and carry a platform fee that is shown before you pay.
• Paction also sells some digital products of its own, such as personalized breed handbooks, to residents of Canada only. They are delivered as soon as you pay, are for your own personal use, and are not refundable once delivered except where the law requires.
• Buyers can review Breeders. Breeders cannot review Buyers.
• Breeders have their own additional terms, covering subscriptions, payouts and Listings.
• These Terms are governed by the laws of Ontario and Canada.

1. Definitions

• Member or you: anyone who uses the Platform, whether or not they have an account.
• Buyer: a Member who uses the Platform to find, enquire about, reserve or buy a dog.
• Breeder: a Member who holds a Breeder account and uses the Platform to present their breeding program, dogs, litters and waitlists to Buyers. Elsewhere on the Platform Breeders may also be called “providers”.
• Listing: any dog, litter, waitlist, profile page or other offering a Breeder presents on the Platform.
• Subscription: the paid plan that gives a Breeder access to Breeder features.
• Content: text, photos, videos, documents and any other material you submit to the Platform.
• Digital Product: content that Paction itself sells through the Platform, such as a personalized breed handbook, including any copy you download.

2. What Paction is, and what it is not

Paction is an online marketplace and introduction service for the responsible rehoming of dogs in Canada. We provide the tools: profiles and Listings, search, messaging, visit scheduling, deposits and payments, reviews and a certification program.

Paction is not a party to any sale of a dog. When a Buyer reserves or buys a dog from a Breeder, the contract is between those two people, on whatever terms they agree. Paction does not breed, own, inspect, sell or deliver dogs; is not the agent, broker or insurer of any Member; and does not guarantee the health, temperament, pedigree, registration, availability or suitability of any dog, or that any introduction will lead to a sale.

Breeders set their own prices, deposit terms and cancellation and refund terms, and are responsible for disclosing them to Buyers before any money changes hands. The tools we provide to help with a transaction — messaging, deposits, visit bookings, next-step reminders — do not make Paction a party to it. Paction does sell its own Digital Products, which section 6 covers.

Breeders alone are responsible for identifying and complying with the laws that apply to breeding and selling dogs where they operate. For example, Ontario’s Preventing Unethical Puppy Sales Act, 2024 (the “PUPS Act”) sets a minimum age before a puppy may be separated from its mother and other standards of care, and many municipalities require breeder licences. Penalties for non-compliance are the Breeder’s responsibility. If you are unsure how the law applies to you, get legal advice.

3. Eligibility and accounts

To use the Platform you must:

• be at least 18 years old;
• provide accurate, current and complete information when you register, and keep it that way;
• not have been previously suspended or removed from the Platform; and
• use the Platform only in compliance with applicable law.

You are responsible for everything that happens under your account and for keeping your login details confidential. A Breeder who adds team members to their account is responsible for what those team members do on it. Tell us at support@paction.ca as soon as you become aware of any unauthorised use of your account.

We may require you to verify your email address or phone number, and may decline, suspend or close an account at our reasonable discretion, including where we believe information you have given us is untrue or where continued access would create a risk to animals, people or the Platform.

4. Buyer obligations

As a Buyer you agree that:

• the information you give Breeders about yourself and your home is accurate;
• you will act in good faith, including by telling a Breeder promptly if you are no longer interested;
• you are responsible for your own diligence before you commit to a dog — asking for records, meeting the dog and, where possible, its parents, and satisfying yourself about the Breeder — and that Paction does not make those checks for you;
• you will comply with the laws that apply to acquiring and keeping a dog where you live; and
• you will raise any problem with a purchase with the Breeder first.

5. Payments made through the Platform

How payments work

Breeders who enable payments can use the Platform to request deposits and payments from Buyers for puppies, litters and waitlist places. Payments are processed by Stripe, and you agree to Stripe’s terms for the payment you make. Paction does not hold Members’ funds and is not a bank, money transmitter or escrow service.

Platform fee

Payments made through the Platform carry a platform fee, calculated as a percentage of the payment amount plus applicable tax. It applies on both sides: added to the Buyer’s total at checkout, and deducted from the amount paid out to the Breeder. We may change the fee. The current rate is shown to each party before they confirm a payment.

Deposits, cancellations and refunds

Whether a deposit or payment is refundable, and on what conditions, is set by the Breeder and forms part of the agreement between the Breeder and the Buyer. Breeders must state their deposit and refund terms clearly before a Buyer pays, and can issue full or partial refunds of payments made through the Platform; refunds go back to the original payment method. Paction does not decide whether a refund is owed. If you cannot resolve a payment issue with the other Member, contact us at support@paction.ca.

Visits

Buyers can request in-person visits and video calls with Breeders through the Platform. Booking an in-person visit may require a visit credit. Visit credits may be granted by Paction or offered for purchase at the price shown at the time; a credit used for a booking is returned to your account if that booking is cancelled.

Payments made outside the Platform

Members may agree to pay each other outside the Platform. Paction has no visibility of such payments, cannot record, refund or help recover them, and takes no fee on them. Buyers should be cautious about any request to pay by untraceable means.

6. Digital products sold by Paction

What you are buying

When you buy a Digital Product, such as a personalized breed handbook, you buy it from Paction, not from a Breeder. Its description, price and applicable taxes are shown before you pay. You need a Paction account to buy one, and payment is processed by Stripe.

Who can buy

Digital Products are sold only to residents of Canada. To buy one you must give us the billing address in Canada of the card you pay with, which we use to calculate the taxes on your purchase, and pay with a card issued in Canada. At checkout the price is first authorized on your card and is charged only once the card is confirmed to have been issued in Canada with a billing address that matches the one you gave us; a purchase that does not meet these requirements is cancelled before your card is charged. You must not misrepresent where you live to buy a Digital Product.

Personalized content

Some Digital Products are personalized using answers you give about your home, household and plans. The content reflects the answers you give, so you are responsible for making them accurate. Where you can update your answers in your account, the personalized content changes to match.

Delivery

A Digital Product is supplied as soon as your payment is confirmed: you can read it in your Paction account and, where offered, download a copy. By completing your purchase you ask us to supply it immediately.

Refunds

Because a Digital Product is supplied as soon as you pay, purchases are final and are not refundable once supplied, except where the law requires a refund or we choose to give one. If you cannot access a Digital Product you bought, or it is materially different from its description, contact us at support@paction.ca. Nothing in this section limits any right you have as a consumer that cannot be excluded by agreement.

How you may use it

Paction grants you a personal, non-exclusive, non-transferable licence to read a Digital Product you have bought and to download and print a copy for your own personal use and that of the people in your household. You may not sell, resell, publish, post, share, send or otherwise make a Digital Product, or any part of it, available to anyone else, in print or electronically; remove any notice from it; or use it to build a competing product. We may end this licence if you breach this section. Paction and its licensors keep all rights in Digital Products.

Changes and availability

Digital Products contain general information that can change and can become out of date. We may correct or update the content of a Digital Product, including one you have already bought, and may stop offering a Digital Product at any time.

7. Messaging, notifications and communications

Introductions and messaging

When a Buyer tells us what they are looking for, we introduce them to Breeders whose programs match, and we may share the Buyer’s name, contact details and message with those Breeders so that they can respond. Members can then message each other on the Platform and, where offered, hold video calls through it. We may review messages to keep the Platform safe, to investigate reports and fraud, and to provide support, as described in our Privacy Policy.

Service messages

We send messages that are part of operating the Platform — for example new-message alerts, introductions and lead notifications for Breeders, visit confirmations, verification codes, billing notices and changes to these Terms — by email, in-app notification and, where you have given us a mobile number, SMS. You can adjust most notifications in your account settings, but some service messages are necessary to run your account.

Marketing messages

We send commercial electronic messages only with your consent, in accordance with Canada’s Anti-Spam Legislation. Every marketing email includes an unsubscribe link, and you can stop marketing SMS at any time by replying STOP. Withdrawing consent to marketing does not affect service messages.

Using messaging responsibly

Do not use Platform messaging to send spam or unsolicited advertising, to harass anyone, to collect Members’ contact details for other purposes, or to arrange anything unlawful.

8. Reviews

Buyers who have dealt with a Breeder through the Platform may leave a review of that Breeder, and the Breeder may post a reply, which is published alongside the review. Breeders cannot review Buyers.

When you submit a review you confirm that it reflects your own genuine experience, that it is honest and not defamatory, and that you have not been paid or otherwise rewarded for it and have no undisclosed connection to the Breeder. A reply must be honest and not defamatory, and must not reveal personal information about the Buyer beyond what the review itself already discusses.

Reviews and replies are the opinions of the Members who write them, not of Paction. We do not verify every review, but we may remove or decline to publish a review or reply that breaches these Terms or the law, and we may investigate reviews we suspect are not genuine.

9. Your content

You keep ownership of the Content you post. So that we can run and promote the Platform, you grant Paction a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable and transferable licence to host, store, reproduce, resize and adapt, display and distribute your Content on the Platform and in Paction’s own communications and advertising that promote the Platform or Breeders’ Listings (for example, featuring a Listing in a social media post).

You confirm that you own or have the rights to everything you post, that it does not infringe anyone else’s rights, and that it is accurate. Anyone shown in a photo or video you post must have agreed to appear in it. We may remove Content that breaches these Terms.

If you send us ideas or feedback about the Platform, you agree that we may use them without restriction or payment.

10. Acceptable use

The Platform exists for Buyers and Breeders to find each other and arrange the responsible rehoming of dogs. Breeders use it commercially, and that is exactly what it is for. What you may not do is:

• break the law, or help anyone else to;
• impersonate anyone, misrepresent who you are, or create accounts for other people;
• post false, misleading or deceptive Listings, claims or reviews;
• scrape, crawl, harvest or bulk-download Content or Members’ details, or use automated tools to access the Platform other than through features we provide for that purpose;
• use Members’ contact details or Content for any purpose other than the one for which they were shared, including building marketing lists or advertising unrelated goods or services;
• interfere with the Platform’s operation or security, probe or test its vulnerabilities, or introduce malicious code;
• copy, resell, frame or mirror any part of the Platform, or build a competing service from its Content, or share a Digital Product beyond what section 6 allows;
• harass, threaten or abuse anyone, or post Content that is hateful, obscene or otherwise objectionable; or
• use the Platform in connection with mistreatment of animals.

11. Intellectual property

The Platform — its software, design, text, graphics, data compilations and everything else that is not Members’ Content — belongs to Paction or its licensors and is protected by Canadian and international intellectual-property law. “Paction”, “Paction Certified” and the Paction logos are trademarks of ours. You may use the Platform, and the marks only as they appear on it, for the purposes these Terms allow, including a Breeder’s commercial use of their own Listings. Everything else requires our written permission.

12. Copyright complaints

If you believe Content on the Platform infringes your copyright, send a notice to support@paction.ca that includes: your name and contact details; a description of the work you say has been infringed and your interest in it; the location of the Content on the Platform (a link); and a statement that you believe in good faith the use is not authorised by you, your agent or the law. We handle notices under the notice-and-notice provisions of Canada’s Copyright Act: where a notice meets the statutory requirements, we forward it to the Member who posted the Content and keep the records the Act requires. We may also remove or disable access to Content at our discretion.

13. Ending your account

By you

You can stop using the Platform at any time. Breeders can cancel their Subscription as described in the Breeder Terms. To close your account, email support@paction.ca from the address on the account and we will close it and handle your data as described in our Privacy Policy.

By us

We may suspend or close your account, remove Content or restrict features if you breach these Terms, if we reasonably believe your use creates a risk to animals, people or the Platform, if we are required to by law, or if we withdraw the Platform. If we close a Breeder account for breach, prepaid Subscription fees are not refunded except where the law requires it.

What survives

Agreements between Members, and any deposits or payments between them, are unaffected by the closure of an account. Sections 2, 5 (as to completed payments), 6 (as to Digital Products you have bought), 9, 11 and 14 to 22 continue to apply after your account ends.

14. Disclaimers

The Platform is provided “as is” and “as available”. To the extent the law allows, we make no warranties about it, including that it will be uninterrupted, error-free or secure, or about any dog, Listing, Breeder, Buyer or review. We do not verify every statement Members make.

Articles, breed guides, calculators, Digital Products (including personalized breed handbooks) and other tools on the Platform are general information. They are not veterinary, legal, financial or other professional advice, and you should not rely on them as such. They do not assess or endorse any Breeder or dog, and they cannot predict how any individual dog will turn out. Laws, bylaws and other rules differ from place to place and change over time, so check the rules that apply where you live. Links to other websites are provided for convenience; we are not responsible for their content.

15. Limitation of liability

To the extent the law allows, Paction and its directors, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, business, goodwill or data, arising from your use of or inability to use the Platform, from any dog or transaction, or from the conduct or Content of any Member. To the same extent, our total liability to you for all claims arising in any twelve-month period will not exceed the greater of the fees you paid to Paction in that period and fifty Canadian dollars ($50).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including any rights you have as a consumer under the consumer-protection legislation of your province, or liability for fraud or wilful misconduct.

16. Indemnity

You will compensate Paction and its directors, officers, employees and contractors for any loss, cost or expense (including reasonable legal fees) arising from a third-party claim that results from your breach of these Terms, your Content or Listings, your dealings or transactions with other Members, or your breach of the law.

17. Disputes between Members

If you have a dispute with another Member, contact them directly first; most problems are solved that way. If that fails, you can contact us at support@paction.ca. We may suggest a way forward and suspend accounts while a dispute is investigated, but we do not adjudicate disputes and are not responsible for their outcome. Members remain free to pursue their legal remedies against each other.

18. Governing law and disputes with Paction

If you have a complaint about Paction, please contact us first at support@paction.ca.

These Terms, and any dispute between you and Paction, are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any such dispute, and you and Paction each attorn to that jurisdiction.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the new version on the Platform and update the “Last updated” date, and we will notify Members where the law requires it. Changes take effect when they are posted unless we say otherwise.

If you do not agree to a change, stop using the Platform (and, for Breeders, cancel your Subscription) before it takes effect. Using the Platform after a change takes effect means you accept it. We may also ask you to accept updated Terms in the Platform before you continue.

20. Notices and electronic communications

You agree that we may give you notices, disclosures and other communications electronically — by email to the address on your account, by in-app notification or, where appropriate, by SMS — and that electronic communications satisfy any requirement that they be in writing. A notice we send by email is treated as received when it is sent. Notices to Paction should be sent to support@paction.ca or to the postal address in section 22.

21. General

• Entire agreement. These Terms, the Privacy Policy, the Breeder Terms and Paction Certification Conditions (for Breeders) and any rules we publish for a particular program, contest or promotion are the whole agreement between you and Paction about the Platform.
• Severability. If part of these Terms is found to be unenforceable, the rest continues to apply.
• No waiver. If we do not enforce a provision, we may still enforce it later.
• Assignment. You may not transfer your rights under these Terms. We may transfer ours to a successor or purchaser of our business.
• Relationship. Nothing in these Terms makes you and Paction partners, employer and employee, or principal and agent.
• Third parties. These Terms do not give anyone other than you and Paction any rights.
